Welcome to Spectrum Whisper LLC ("we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Spectrum Whisper LLC provides software development services including, but not limited to:

• Web application development
• Mobile application development (iOS & Android)
• API integration and automation services
• Digital product strategy and consulting

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Communicate project requirements clearly and in a timely manner
• Provide necessary access credentials and materials
• Review and provide feedback on deliverables within agreed timeframes
• Make payments as agreed upon in contracts or invoices

4. Payment Terms

Payment terms will be outlined in individual project agreements or contracts. Generally:

• Payment is due within the timeframe specified in invoices
• Late payments may incur interest charges or affect project delivery
• All payments are processed securely through Stripe
• Prices are quoted in USD and are exclusive of applicable taxes

5. Project Delivery and Timeline

Project timelines are estimates based on information provided at the start of the project. We agree to:

• Make reasonable efforts to meet agreed-upon deadlines
• Communicate promptly about any delays or changes to scope
• Provide regular updates on project progress

Timelines may be affected by factors beyond our control including, but not limited to, third-party service interruptions, client delays in providing feedback, or changes to project scope.

6. Intellectual Property

Upon full payment for services, intellectual property rights to deliverables will be transferred to the client as outlined in the project agreement:

• Custom code developed specifically for the client
• Original design assets created for the project
• Final project deliverables as specified in agreements

We retain rights to our proprietary processes, frameworks, and reusable code libraries.

7. Confidentiality

We agree to maintain confidentiality of client information including, but not limited to:

• Business information and trade secrets
• Technical specifications and code
• User data and customer information
• Project details and strategies

This obligation continues after the completion of services and the termination of any agreements.

8. Limitation of Liability

To the maximum extent permitted by law, Spectrum Whisper LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of goodwill, arising out of or related to our services.

9. Termination

Either party may terminate services under the following conditions:

• By mutual written agreement
• Upon material breach by either party, with written notice
• Client may terminate with notice, subject to payment for work completed

Upon termination, client is responsible for payment for all work completed up to the termination date.

10. Warranty

We warrant that services will be performed in a professional manner consistent with industry standards. We will:

• Fix bugs and issues identified during the warranty period
• Provide reasonable support as outlined in project agreements
• Make best efforts to ensure deliverables meet agreed specifications

11. Governing Law

These Terms of Service and any disputes arising from our services shall be governed by and construed in accordance with the laws of the State of New Mexico, United States.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting. Your continued use of our services after changes constitutes acceptance of the modified terms.
